Service Agreement

Leadership Reset Diagnostic™

This Service Agreement (“Agreement”) is entered into by and between Cultural Connections by Design, represented by Dr. Nicole R. Robinson (“Consultant”), and [Client Name] (“Client”), as of [Effective Date].

1. Purpose of Engagement

The Leadership Reset Diagnostic™ is a focused advisory engagement designed to help the Client identify the issue beneath the visible issue, interpret the culture drivers shaping the challenge, and determine what requires attention first.

This engagement is not therapy, coaching for personal transformation, legal advice, or a guarantee of a particular business outcome. It is a structured diagnostic and advisory process intended to support leadership clarity, interpretation, and decision-making.

2. Scope of Services

Under this Agreement, Consultant will provide the following services:

• A structured review process centered on one core leadership challenge identified by Client.
• A contextual review of materials and reflections submitted by Client.
• A customized Leadership Reset Blueprint summarizing core findings and stabilization direction.
• One 90-minute Executive Working Session to review findings, clarify priorities, and support next-step planning.

Consultant will personally review the submitted materials and prepare the advisory guidance associated with this engagement.

3. Client Responsibilities

In order for the engagement to be effective, Client agrees to:

• Identify one primary issue or challenge that will serve as the focus of the engagement.
• Provide timely, accurate, and complete information, reflections, and supporting materials.
• Participate in the process in good faith and attend the Executive Working Session as scheduled.
• Review deliverables promptly and communicate scheduling needs in a timely manner.

4. Fees and Payment

The total fee for the Leadership Reset Diagnostic™ is $2,500 USD. Payment is due in full prior to the start of services unless otherwise agreed in writing.

No work will begin until payment has been received and access to the engagement has been confirmed.

5. Delivery Timeline

The engagement is typically completed within approximately two weeks. This timeline is dependent upon Client’s timely completion of required forms, submission of materials, and availability for scheduling.

Consultant is not responsible for delays caused by incomplete submissions, non-responsiveness, or scheduling limitations outside Consultant’s control.

6. Scheduling and Rescheduling

The Executive Working Session will be scheduled at a mutually agreed upon time. Client may request to reschedule with at least 24 hours’ notice.

Sessions missed without notice or cancelled with less than 24 hours’ notice may be forfeited at Consultant’s discretion, except in the case of emergencies.

7. Confidentiality

Consultant will treat Client materials and information shared during the engagement as confidential, except where disclosure is required by law or where the information is already publicly available.

Client understands that electronic communication and document sharing carry inherent security risks, and agrees that reasonable digital methods of communication may be used for this engagement.

8. Intellectual Property

All frameworks, methods, tools, templates, processes, language, and materials developed or provided by Consultant in connection with the Leadership Reset Diagnostic™ remain the intellectual property of Consultant.

Client may use the deliverables for internal decision-making and leadership purposes, but may not reproduce, distribute, publish, teach, license, or commercially exploit Consultant’s materials without prior written permission.

9. No Guarantee of Outcomes

Consultant does not guarantee any specific organizational, financial, relational, or operational outcome. The value of the engagement depends in part on Client’s participation, implementation, and broader contextual factors.

10. Refunds and Cancellations

Due to the customized and advisory nature of this engagement, all fees are non-refundable once the engagement has begun, including but not limited to Consultant’s review of submitted materials, diagnostic interpretation, or preparation of deliverables.

If Client chooses not to complete the process after purchase, any unused portion of the engagement is forfeited, unless otherwise agreed by Consultant in writing.

11. Limitation of Liability

To the fullest extent permitted by law, Consultant’s liability arising out of or related to this Agreement shall not exceed the total amount paid by Client under this Agreement. Consultant shall not be liable for any indirect, incidental, special, or consequential damages.

12. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the state of Delaware, without regard to conflict of law principles.

13. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the Leadership Reset Diagnostic™ and supersedes all prior discussions, understandings, or representations related to this engagement. Any amendment must be made in writing.
